Spain-based Grifols has agreed to acquire Talecris for $3.4bn (€2.8bn) in cash and stock to increase its presence in North America.

Grifols will use its available manufacturing capacity to allow Talecris to increase production in the near term. This will allow the combined company to meet the needs of patients.

Acquiring Talecris will give Grifols a strong position in the blood-based infusion market. CSL previously offered $3.1bn for Talecris but the US Federal Trade Commission objected and the deal was dropped.

The acquisition by Grifols is subject to closing conditions, including antitrust and regulatory review.
