Included in the transaction is the fine chemicals business of Mannheim-based Rutgers Organics, which acts as a custom manufacturer of active pharmaceutical ingredients (APIs) and pharmaceutical intermediates and had revenues of around €21m in 2004. This business has a US affiliate which specialises mainly in agrochemicals, but under INCI's proposals the two groups will be combined and renamed WeylChem.
The other businesses included in the sale are:
- the Rutgers Organics wood preservative and fire protection product lines, which had sales of €18.5m in 2004. INCI said this business would retain the Rutgers Organics name;
- Rutger's Speciality Surfactants business unit, which is based in Cincinnati, US and will be renamed Nease. This business has sales of around €10m a year;
- and Essen, Germany-based Rutgers CarboTech, which produces activated carbon for drinking water purification and had revenues of €22m in 2004. This unit will be renamed CarboTech AC.
The sale of the units is subject to approval by the boards and regulatory authorities, but is expected to be completed in August.
